01Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the platform, agent, applications, websites, and services (collectively, the “Services”) provided by Lane Technologies, Inc. (“Lane,” “we,” “us,” or “our”). By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

02Access Through Partners

You may access the Services directly or through one of our partners. If you reach the Services through a partner, that partner’s own terms and privacy policy also apply to your relationship with the partner, and these Terms continue to govern your use of the Lane Services. The partner is not authorized to modify these Terms on our behalf, and we are not responsible for the partner’s separate products, services, or representations.

03Description of the Services

Every purchase you make through the Services is a direct transaction between you and the merchant. Lane is not the seller and is not a party to that transaction. Lane provides a tool, an assistant (the “Agent”), that you direct to carry out specific actions you choose and approve. You initiate and approve each action; the Agent does not make purchases on its own.

Acting only on the specific actions you initiate and approve, the Services may:

  • access the merchant accounts and websites you connect, to carry out the action you have approved;
  • submit the information you authorize (such as name, contact, billing, and shipping details) to complete that action;
  • use the payment method you designate to complete the purchase you have approved, within the limits you set;
  • present each action or checkout for your confirmation or verification before it is completed; and
  • keep a record of the actions you have initiated and their status.

Lane is a facilitation tool. Lane is not a seller, merchant, retailer, marketplace, or bank, and (subject to the regulatory determinations noted above) does not act as a money transmitter. Lane is not a party to the purchase contract between you and any merchant. The Services do not support purchases in certain restricted, regulated, or high-risk categories (see Section 16). We may add, modify, or discontinue features at any time and do not guarantee that the Services will be uninterrupted, error-free, or always available.

04Eligibility

You must be at least 18 years old and capable of forming a binding contract. The Services are currently offered only in the United States. By using the Services, you represent and warrant that you meet these requirements and are accessing the Services from the United States.

05Accounts, Registration, and Identity Verification

To use the Services you must create an account and provide accurate, current, and complete information, and keep it updated. We and our partners may be required to verify your identity (“KYC”) and may collect information and documentation for that purpose through identity-verification providers. We may decline, suspend, or limit your account if verification cannot be completed. You are responsible for safeguarding your account credentials and for all activity under your account, and must notify us immediately at team@getonlane.com of any suspected unauthorized use.

06Your Authorization

This Section is central to how the Services work. Read it carefully.

You direct and initiate each action the Agent takes. To let the Agent carry out an action you have approved, you authorize Lane, acting as your limited agent for that specific action only, to: (a) submit your information (such as name, contact, billing, and shipping details) to the relevant merchant; and (b) use the payment method you designate to complete the purchase you approved, within the limits you set. This authorization is limited to the specific actions you initiate and approve. It is not a standing or general authorization for Lane to transact on its own, and the Agent does not make purchases that you have not approved.

You represent and warrant that:

  • you are the authorized holder of each merchant account and payment method you connect;
  • you have the right to direct the actions you request and to authorize Lane to submit your information and payment to complete them;
  • you are responsible for ensuring that your use of the Services, and the actions you initiate, comply with any terms, policies, or agreements that apply between you and a merchant or other third party; and
  • you are solely responsible for any conflict between your use of the Services and a third party’s terms.

You may revoke this authorization at any time by disconnecting the relevant account or payment method or by closing your account. Revocation does not affect actions already completed or in progress.

07Your Actions and Approvals

You initiate and approve every action the Agent takes. Before a purchase is completed, the Services present the details of the proposed transaction to you and obtain your explicit confirmation to proceed. Each purchase requires your approval of that specific action, checkout, or purchase intent before it is completed. No purchase or transaction is made automatically, or on a standing basis, without your approval of that specific action. You are responsible for the actions and limits you set and for reviewing each action presented for your approval, and you acknowledge that you bear the risk of instructions that are incomplete, ambiguous, or mistaken.

08Lane Is Not the Merchant of Record

Every purchase is a direct contract between you and the applicable merchant, formed when you approve it. The merchant, not Lane, is responsible for product selection, descriptions, pricing, availability, fulfillment, delivery, returns, refunds, warranties, and customer service. Disputes about a product or its delivery must be pursued with the merchant. Lane does not control and is not responsible for merchant content, policies, or conduct.

09No Guarantee of Transaction Accuracy

You acknowledge that the Agent relies on automated systems, machine-learning models, and third-party websites that change without notice, and that such systems can make errors, including selecting an incorrect item, quantity, price, or option, completing duplicate or mistimed transactions, or failing to complete a transaction. We do not warrant that the Agent will execute any transaction correctly, completely, or on time. To the maximum extent permitted by applicable law, Lane is not liable for transactions executed in accordance with the actions and approvals you provided. We provide human-in-the-loop confirmation tools (such as the SMS approvals described in Section 13) to help you maintain oversight; you are responsible for using them.

You understand and accept that the Agent uses automated, probabilistic technology. Like other AI systems, it may produce unexpected, inaccurate, or erroneous results, and may occasionally select an incorrect item, option, quantity, or price, or otherwise act in a way you did not intend. This is an inherent characteristic of using AI agents to carry out checkout, not a malfunction, and you accept this risk as a condition of using the Services. You agree to review and approve each action before it is completed and to use the confirmation controls we provide. This does not limit any rights you have under applicable law with respect to payment errors or unauthorized charges, or any liability that cannot be excluded by law.

10Payments, Cards, and Funding

To complete purchases, the Services use the payment method you designate, limited to the transactions, limits, and approvals you authorize.

Authorization to charge. You authorize Lane and its payment partners to use your designated payment method(s) to fund and complete the transactions you approve, including applicable taxes, shipping, fees, and merchant charges. The charge is authorized as part of completing each transaction you approve.

Protection of card data. Your card data is protected using industry-standard methods, and Lane does not store your full card number.

Not a bank; not FDIC-insured. Lane is a technology company. Lane is not a bank, credit union, trust company, or other depository or financial institution, and does not present itself as one. Lane does not accept deposits, does not hold or maintain a balance of your funds, and does not provide banking, deposit, or money-transmission services. Lane is not insured by the Federal Deposit Insurance Corporation (FDIC) or any other government agency, and no funds used through the Services are FDIC-insured deposits. Card issuance, funding, settlement, and money movement are performed by licensed payment partners and financial institutions, not by Lane.

Promotional credits and incentives. Any promotional value we provide (such as referral or sign-up incentives) is provided by Lane as a promotion at our discretion under Section 14. It is not your deposited funds and is not FDIC-insured.

Chargebacks and payment disputes relating to a purchase are governed by the merchant’s policies and your card issuer’s or bank’s rules. Nothing in these Terms waives any payment-protection rights you may have under applicable law.

11Credentials and Account Access

To act on your behalf, the Services store and use the access needed to carry out the actions you initiate within the accounts you connect. You authorize this storage and use solely to perform the actions you direct, and you are responsible for ensuring you have the right to grant it. We will use this access only as described in these Terms and our Privacy Policy, and never to access accounts or take actions you have not authorized.

12Security

We take the protection of your information seriously and use administrative, technical, and organizational safeguards designed to protect it, including measures so that your full card number is not exposed to or stored by Lane. We limit the use of your information to performing the actions you authorize.

No method of transmission or storage is completely secure, and we cannot guarantee absolute security. You agree to use the security and approval controls we provide, to keep your account secure, and to notify us promptly of any suspected unauthorized access.

13Text Messaging (SMS) Consent

With your consent, Lane sends transactional SMS messages to the phone number you provide, including (a) one-time verification codes and (b) requests to confirm or authorize a sensitive action, such as approving a purchase before payment is completed. Message frequency varies based on your activity. Message and data rates may apply. You can reply HELP for help and STOP to unsubscribe; opting out of transactional messages may prevent the Agent from completing certain actions. Consent to receive these messages is obtained at sign-up and is not a condition of any purchase beyond what is necessary to operate the Agent. 14Referral Credits and Promotions

We may offer promotional credits and incentives, including referral incentives, subject to additional rules we publish. Except where required by law, promotional value has no cash value, is non-transferable, may expire, and may require an active subscription or trial to use. We may modify, suspend, or revoke credits and promotions, and may withhold or claw back promotional value, where we reasonably suspect fraud, abuse, multiple or fake accounts, or violation of these Terms or the promotion rules.

15Subscriptions, Fees, Trials, and Refunds

Certain features require a subscription or other fees. You authorize us (or our payment processors) to charge your payment method for all applicable fees, including recurring subscription fees until you cancel. Trials, if offered, convert to paid subscriptions unless cancelled before the trial ends. You can cancel as described in the Services; cancellation takes effect at the end of the current billing period. Except as required by law or expressly stated, fees and subscription charges are non-refundable. We may change fees with reasonable notice.

16Acceptable Use

You agree not to:

  • use the Services for any unlawful, fraudulent, or unauthorized purpose, or to facilitate money laundering or terrorist financing;
  • connect an account or payment method you are not authorized to use;
  • use the Services to make purchases you are not legally permitted to make, or in a way that does not comply with a merchant’s or other third party’s terms, policies, or rights;
  • use the Services to discover, recommend, or purchase goods or services in categories that the Services do not support, which include certain regulated and high-risk categories restricted by applicable law and by our payment network requirements, for example, adult content; gambling and games of chance; prescription drugs; tobacco; weapons; cryptocurrency and related funding; money transfer or peer-to-peer money movement; dating or escort services; and trading in financial instruments. We may decline or block any transaction in a restricted category, and the list of restricted categories may change;
  • interfere with or disrupt the integrity or performance of the Services;
  • attempt to gain unauthorized access to the Services or related systems;
  • reverse engineer or decompile any part of the Services, except as permitted by law;
  • upload or transmit malicious code; or
  • resell, sublicense, or commercially exploit the Services without our written consent.

17Third-Party Services and Merchants

The Services interact with third-party merchants, platforms, payment networks, and providers. Your use of those third parties is governed by their own terms and policies. Your relationship with each merchant is directly between you and that merchant, and you are responsible for your activity in connection with that merchant, including reviewing and complying with the merchant’s applicable terms, policies, and purchase conditions, and for the purchases you approve. Each purchase you make through the Services is initiated and approved by you and is a direct transaction between you and the merchant; when the Agent acts, it does so only to carry out the specific action you initiated and approved. We are not responsible for the availability, accuracy, conduct, or practices of third parties.

18Intellectual Property

The Services, including all software, models, content, and trademarks, are owned by Lane or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You retain ownership of the content and data you submit and grant us a license to use it as necessary to provide, secure, and improve the Services, subject to our Privacy Policy.

19Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES, OR ANY TRANSACTION EXECUTED THROUGH THEM, WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE.

20Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or willful misconduct, for death or personal injury caused by negligence, or for any non-waivable rights you have as a consumer.

21Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for suspected fraud or abuse or to comply with law. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including authorization for completed actions, ownership, disclaimers, limitations of liability, and indemnification) will survive.

22Dispute Resolution; Arbitration; Class Waiver

Please read this Section carefully, it affects how disputes are resolved.

The parties will first attempt to resolve any dispute through informal negotiation for thirty (30) days after written notice. If unresolved, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration before a reputable arbitration administrator, under its applicable consumer arbitration rules, seated in San Francisco, California, except that either party may bring a qualifying claim in small-claims court. You and Lane waive any right to a jury trial and to participate in a class, collective, or representative action. You may opt out of this arbitration agreement by notifying us at team@getonlane.com within thirty (30) days of first accepting these Terms.

23Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except where the arbitration provision or applicable consumer-protection law provides otherwise.

24Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and revising the “Last Updated” date and, where appropriate, by other notice. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
